  1. LICENSE AGREEMENT FOR PC MAGAZINE UTILITIES

  3. READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE EMBODIED IN THE 
  4. DISC OR CD-ROM DISTRIBUTED WITH THIS LICENSE AGREEMENT OR, IF 
  5. DOWNLOADED OR IF PROVIDED AS PART OF A COLLECTION, THE DOWNLOADED OR 
  6. COLLECTED FILE(S) (the "Media"). Embodied in the Media is a PC Magazine 
  7. Utility computer program, its source code, and related documentation 
  8. (the "Software"). Ziff Davis Media Inc. ("Ziff-Davis") is the licensor 
  9. under this Agreement and you are the licensee. By using the Software, in 
  10. whole or in part, you agree to be bound by the terms of this Agreement. 
  11. If you do not agree to the terms of this Agreement, promptly return the 
  12. Software to the fulfillment house from whom you received the disc or 
  13. CD-ROM (or, if downloaded, delete the Software, or if provided as part 
  14. of a collection, cease use of the Software). Title to the Software and 
  15. all copyrights and other proprietary rights therein are owned by Ziff-
  16. Davis. All rights therein, except those expressly granted to you in 
  17. this Agreement, are reserved by Ziff-Davis.

  19. 1.    Limited License
  20. Ziff-Davis grants you a non-exclusive, non-transferable license to 
  21. install and use the Software in a single location on a hard disk or 
  22. other storage device, and to make a single archival copy of the Software.
  23.  
  24. Ziff-Davis grants you a non-exclusive, non-transferable license to use 
  25. the source code distributed with PC Magazine utilities for educational, 
  26. non-commercial purposes only. Under no circumstances may you distribute 
  27. any unaltered or altered version of the Software through any means, 
  28. including, without limitation, personal bulletin boards, ftp sites, 
  29. CompuServe, the Web, floppy disk or other storage device, or under any 
  30. name, including without limitation, your name, Ziff-Davis' name or any 
  31. third party's name, nor may you distribute or market programs that 
  32. contain altered or unaltered portions of the Software's source code. In 
  33. no event shall Ziff-Davis' distribution of the source code with the 
  34. Software imply or result in a diminishment or impairment of Ziff-Davis' 
  35. rights in the Software or the source code of the Software, including, 
  36. without limitation, Ziff-Davis' copyright in the Software or the source 
  37. code of the Software.

  39. This Agreement and your rights hereunder shall automatically terminate 
  40. if you fail to comply with any provision of this Agreement. Upon such 
  41. termination, you shall cease all use of the Software. Further you shall 
  42. delete the Software and destroy any archival copies of the Software and 
  43. other materials related to the Software in your possession or under 
  44. your control, or, if downloaded or if provided as part of a collection, 
  45. you shall cease use of and destroy any and all copies of the Software 
  46. in your possession or under your control.

  48. 2.    Additional Restrictions
  49. A.    You shall not copy the Software or any component thereof, except 
  50. for a single archival copy pursuant to paragraph 1 above.  You shall 
  51. not rent, lease, sell or sublicense the Software.  Any attempt to do so 
  52. shall be void and of no effect.  To obtain additional copies of the 
  53. Software, refer to the PC Magazine Web site located at 
  54. http://www.pcmag.com or PC Magazine's Utilities column.

  56. B.    You shall not (and shall not permit other persons or entities to) 
  57. merge, modify, include in other software or translate the Software or 
  58. any component thereof.
  59.  
  60. C.    You shall not (and shall not permit other persons or entities to) 
  61. remove or obscure Ziff-Davis' copyright, trademark or other proprietary 
  62. notices or legends from any of the materials contained in this package 
  63. or downloaded.

  65. 3.    Disclaimer of Warranty
  66. THE SOFTWARE AND THE MEDIA ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY 
  67. KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY 
  68. WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO 
  69. EVENT SHALL ZIFF-DAVIS OR ITS AUTHORIZED DISTRIBUTORS BE LIABLE FOR ANY 
  70. DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE 
  71. USE OR INABILITY TO USE THE SOFTWARE OR THE MEDIA, EVEN IF ZIFF-DAVIS 
  72. OR ITS AUTHORIZED DISTRIBUTORS HAVE BEEN ADVISED OF THE LIKELIHOOD OF 
  73. SUCH DAMAGES OCCURRING. ZIFF-DAVIS AND ITS AUTHORIZED DISTRIBUTORS 
  74. SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGES OR COSTS, ARISING OUT OF, BUT 
  75. NOT LIMITED TO, LOST PROFITS OR REVENUE, LOSS OF USE OF THE SOFTWARE OR 
  76. THE MEDIA, LOSS OF DATA OR EQUIPMENT, THE COSTS OF RECOVERING SOFTWARE, 
  77. THE MEDIA, DATA OR EQUIPMENT, THE COST OF SUBSTITUTE SOFTWARE OR THE 
  78. MEDIA, DATA OR EQUIPMENT OR CLAIMS BY THIRD PARTIES, OR OTHER SIMILAR 
  79. COSTS.

  81. SOME STATES DO NOT ALLOW EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES 
  82. OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO 
  83. THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

  85. 4.    U.S. Government Restricted Rights
  86. The Software is licensed subject to RESTRICTED RIGHTS. Use, duplication 
  87. or disclosure by the Government or any person or entity acting on its 
  88. behalf is subject to restrictions as set forth in subdivision 
  89. (c)(1)(ii) of the Rights in Technical Data and Computer Software Clause 
  90. at DFARS (48 CFR 252.227-7013) for DoD contracts, in paragraphs (c)(1) 
  91. and (2) of the Commercial Computer Software-Restricted Rights clause in 
  92. the FAR (48 CFR 52.227-19) for civilian agencies, or in the case of 
  93. NASA, in Clause 18-52.227-86(d) of the NASA Supplement to the FAR, or 
  94. in other comparable agency clauses.

  96. 5.    General Provisions
  97. Nothing in this Agreement constitutes a waiver of Ziff-Davis' rights 
  98. under U.S. copyright laws or any other Federal, state, local or foreign 
  99. law. You are responsible for installation, management, and operation of 
  100. the Software. This Agreement shall be construed, interpreted and 
  101. governed under New York law. If any provision of this Agreement shall 
  102. be held by a court of competent jurisdiction to be illegal, invalid or 
  103. unenforceable, the remaining provisions shall remain in full force and 
  104. effect.  You agree that the Software will not be shipped, transferred 
  105. or exported into any country or used in any manner prohibited by the 
  106. United States Export Administration Act or any other export laws, 
  107. restrictions or regulations.
